UAE business setup, answered.

Straight answers to the questions founders ask most — ownership, cost, free zones, tax, visas and banking. Still stuck? Ask us directly.

Ownership & getting started

01Can a foreigner own 100% of a UAE company?

Yes. Free zones have always allowed 100% foreign ownership, and since the 2021 Commercial Companies Law reform most mainland activities also permit it without an Emirati partner. Only a small list of strategic-impact activities may still require local participation.

02Do I still need a local sponsor to open a company in Dubai?

In most cases, no. The old 51% local-partner rule was removed for over a thousand mainland activities in 2021, and free zones never required a sponsor. A few strategic activities may still need a local service agent, which is an administrative role, not an ownership stake.

03Do I need to be in Dubai to register a company?

For many free zones, no — the licence and incorporation can be done remotely. You typically only need to enter the UAE for the visa medical and Emirates ID biometrics, and some banks require an in-person or video meeting.

04Can I set up a Dubai company from abroad?

Yes. Remote-friendly zones like IFZA, Meydan, SHAMS and RAKEZ let overseas founders complete most steps online. You'll usually visit only for the medical and Emirates ID once your visa is being processed.

05What documents do I need to start a business in Dubai?

At minimum, passport copies of all shareholders and directors, a completed application, and sometimes a business plan or CV. Additional documents (proof of address, existing-company papers) may be requested for banking and certain activities.

06Can I convert a freelance permit into a full company later?

Yes. Many founders start on a freelance permit and upgrade to a full free zone company as they grow — adding activities, visa quota and the ability to sponsor staff.

Cost & budgeting

01How much does it cost to set up a company in the UAE?

Indicatively, a zero-visa freelancer licence starts around AED 5,500–12,000; a small company with one visa and a flexi-desk around AED 12,000–25,000; and an office-based trading company with several visas AED 25,000–50,000+. Costs vary by zone, activity, office and visa count.

02What is the cheapest way to start a business in Dubai?

The leanest legitimate routes are a zero-visa licence in a low-cost zone (SHAMS, SPC, Ajman, UAQ FTZ — indicatively from ~AED 5,000–8,000) or a freelance permit if you work solo. Add a visa only when you need one and keep to a service licence and flexi-desk.

03Which free zone is cheapest in the UAE?

The lowest advertised entry points come from Sharjah and the northern emirates — SHAMS, SPC Free Zone, Ajman Free Zone and UAQ FTZ. Always confirm current pricing and weigh cost against banking credibility.

04What are the hidden costs of setting up in Dubai?

The commonly missed ones are visa medical and Emirates ID fees, establishment card fees, PRO/service charges, refundable deposits, and annual renewals. Bank minimum-balance requirements also tie up capital. Always ask for a written, itemised breakdown.

05What are the ongoing annual costs of a Dubai company?

Budget roughly AED 15,000–30,000 a year before accounting, covering licence renewal and visa renewals (on a 2–3 year cycle). Add bookkeeping, audit (required for QFZPs), and corporate tax and VAT filing depending on your business.

06Is it cheaper to set up in a free zone or mainland?

Free zones are usually cheaper to start and simpler for foreign owners, often with bundled visa-and-desk packages. Mainland can carry higher first-year costs due to external approvals and a physical-office requirement, but gives direct UAE-market access.

Free zones

01What's the difference between a free zone and mainland company?

A mainland company can trade anywhere in the UAE and bid for government contracts but generally needs physical premises. A free zone company gets fast, lower-cost setup and 0% qualifying-income tax treatment but can't trade directly in the mainland — it sells locally via a distributor or branch.

02Can a free zone company do business in mainland UAE?

Not directly. It can export, serve other free zone companies freely, and invoice mainland clients for many services, but to sell goods or run a physical location on the mainland it usually needs a local distributor, agent or a mainland branch. That income is generally taxed at 9%.

03How many free zones are there in the UAE?

More than 40 across the seven emirates, each run by its own authority. Dubai alone has over 20. They range from ultra-low-cost startup zones to premium financial centres like DIFC and ADGM.

04Which free zone is best for a consultancy in Dubai?

IFZA and Meydan are popular for low cost and fast remote setup, while DMCC adds banking credibility and prestige at a higher price. The best pick depends on your budget and how important banking approval and address are.

05How many visas can I get with a free zone licence?

It depends on your package and workspace. Zero-visa licences exist; flexi-desk packages typically allow a small number of visas, and dedicated offices, warehouses or land unlock larger allocations.

06Do I need a physical office to register a free zone company?

Usually not for basic packages — a flexi-desk (shared address) satisfies most service licences. A dedicated office is only required for larger visa quotas or certain activities.

Corporate tax & VAT

01Do free zone companies pay corporate tax in the UAE?

They can achieve 0% on 'qualifying income' as a Qualifying Free Zone Person (QFZP), but only if they meet all conditions — substance, qualifying income, the de minimis limit, transfer pricing and audited accounts. Non-qualifying and mainland-sourced income is generally taxed at 9%.

02Is my Dubai company income really tax-free?

For qualifying free zone income, effectively yes — if you meet the QFZP conditions and register. It's no longer automatic. Mainland-sourced income is generally taxed at 9% above AED 375,000, and everyone must register and file.

03What is the 9% UAE corporate tax and who pays it?

Under Federal Decree-Law No. 47 of 2022 (effective for financial years starting on or after 1 June 2023), taxable profit up to AED 375,000 is taxed at 0% and profit above that at 9%. It applies to mainland and free zone companies alike.

04Do I need to register for corporate tax even if I owe 0%?

Yes. Corporate tax registration with the Federal Tax Authority is mandatory for taxable persons — including free zone companies and small businesses — regardless of whether the effective rate is 0%. Returns are filed within 9 months of the financial year-end.

05What is a Qualifying Free Zone Person (QFZP)?

A free zone company that qualifies for 0% on qualifying income. It must keep adequate substance, earn qualifying income, keep non-qualifying revenue within the de minimis limit (lower of 5% of revenue or AED 5m), follow transfer-pricing rules, and maintain audited financial statements.

06What is Small Business Relief?

An election for UAE-resident businesses with revenue at or under AED 3 million that treats them as having no taxable income (0% corporate tax), for tax periods ending on or before 31 December 2026. It generally excludes QFZPs and large-group members.

07Do I need to register for VAT when I set up in Dubai?

Only if you cross the threshold. VAT is 5%, with mandatory registration once taxable turnover exceeds AED 375,000 (or is expected to within 30 days) and voluntary registration above AED 187,500. VAT is separate from corporate tax.

08Are free zone companies exempt from VAT?

No. Being in a free zone doesn't exempt you from VAT. Certain 'Designated Zones' get special treatment for goods, but services and most transactions remain in scope, and the same registration thresholds apply.

Visas & residency

01How do I get a residence visa through my Dubai company?

Your company sponsors an investor/partner visa (for owners) or employment visa (for staff). After the establishment card, you apply for an entry permit, complete a medical and biometrics, then receive the residence visa and Emirates ID. Quota depends on your office or desk package.

02How much is a freelance visa in Dubai?

A freelance permit plus residence visa indicatively runs from ~AED 7,500 to AED 20,000 in year one, depending on the zone, activity and whether you add the establishment card, medical and Emirates ID. Confirm current package pricing.

03What is the Golden Visa and can my business qualify me for it?

The Golden Visa is a 10-year, self-sponsored residence visa. Business-related routes include property investment of at least AED 2 million, entrepreneurs with an accredited project (commonly ~AED 500,000), and skilled professionals earning at least AED 30,000/month. Categories keep expanding — confirm with ICP.

04Can I sponsor my family on a UAE residence visa?

Yes. Investors and residents (and Golden Visa holders) can sponsor spouse, children and — subject to conditions — parents, provided salary and housing requirements are met. Each dependent completes a medical test and Emirates ID.

05What does the visa medical and Emirates ID process involve?

Applicants over 18 take a medical fitness test (a blood test for communicable diseases plus a chest X-ray) at an approved centre, give biometrics for the Emirates ID, then receive the residence visa stamp and the Emirates ID card.

06How long is a UAE residence visa valid?

Standard investor and employment residence visas are commonly valid for 2 years and are renewable. The Golden Visa lasts 10 years and is renewable. Emirates ID validity matches the visa term.

Banking

01How do I open a business bank account in Dubai?

Apply to a UAE bank with your trade licence, incorporation documents, establishment card, shareholder passports, Emirates ID/visa for resident signatories, proof of address and a source-of-funds narrative. Banks run strict KYC, so consistency between your licence, website and pitch matters.

02Why do UAE bank account applications get rejected?

Most commonly due to inconsistent source-of-wealth documentation, a mismatch between the licensed activity and the actual business, high-risk activity categories (crypto, money services), or overly complex ownership. Clear, consistent money-flow explanations are key.

03Is there a minimum balance for a UAE business account?

Often yes — indicatively AED 25,000 to 500,000 average monthly balance depending on the bank and tier. Falling below usually triggers fees. It ties up capital rather than being a one-off charge.

04What documents do I need to open a corporate bank account?

Typically the trade licence, certificate of incorporation, MOA/AOA, shareholder and director passports, Emirates ID and visa for resident signatories, the establishment card, proof of address or tenancy, a business plan and source-of-funds evidence.

05Can you guarantee a business bank account?

No one can guarantee approval — banks make the final decision on their own criteria. But matching you to the right bank and preparing a clean, consistent application materially improves your odds. Fintech/EMI accounts can be a faster interim option.

Process, timeline & offshore

01How do I set up a company in a UAE free zone?

Pick your activity and free zone, reserve a name, submit the licence application, sign incorporation documents and pay fees to get your trade licence, obtain the establishment card, apply for residence visas (with medical and Emirates ID), then open a bank account and register for tax.

02How long does it take to set up a company in Dubai?

The licence can be issued within a few days to about two weeks. Adding the establishment card, visa, medical, Emirates ID and bank account typically extends the full process to several weeks — a realistic end-to-end range is 3–6 weeks.

03What is an Establishment Card?

It's the immigration card that registers your company with the immigration authority. It's required before your company can sponsor residence visas for owners or employees.

04What business activities are allowed under one licence?

Many free zones allow multiple activities under a single licence — IFZA and several Sharjah zones permit up to three or more, sometimes across sectors. Your activities must genuinely match how you operate, or banking and renewals get harder.

05What is an offshore company and how is it different?

An offshore company (e.g. RAK ICC, JAFZA Offshore) is a tax-neutral vehicle for holding assets, shares, IP or property and doing international business. It can't trade inside the UAE, has no physical office, and can't sponsor residence visas — unlike free zone and mainland companies.

06What happens if I don't renew my trade licence?

Late renewal typically incurs fines, and a lapsed licence can lead to visa complications and blocks on government services. Renew on time — build the annual licence and periodic visa renewals into your ongoing budget.
